ARENA ONE TERMS OF USE AGREEMENT

Effective Date: April 24, 2026

Welcome to Artist One, Inc. d/b/a Arena One. Please read the entirety of these terms of use as they constitute a legally binding agreement between you and Artist One, Inc. d/b/a Arena One and its current and future affiliates, subsidiaries, and related entities ("Company," "Arena," "Arena One," "we," "us," or "our"). This Terms of Use Agreement ("Terms") governs your access to and use of the Arena One platforms and services, including our website and Fan Experience Web App (including fan accounts and profiles) found at arenaone.me, and all related live cinema events and fan experiences (collectively "Services") produced by Arena One and its current and future affiliates.

1. ACCEPTANCE OF AGREEMENT

By accessing, attending, or using Arena One platforms, events, and experiences, you agree to these Terms, including our Privacy Policy, and our SMS/Messaging Policy, which are incorporated into these Terms by reference. By using our Services, you acknowledge and agree to be bound by and comply with these Terms and all additional terms and conditions we may provide to you from time to time in connection to our Services and any additional products and/or services we may offer in the future including but not limited to additional platforms, contests, promotional products and experiences ("Additional Terms"). To the extent there is a conflict between these Terms and our Privacy Policy, SMS/Messaging Policy, and Additional Terms (collectively, "Other Policies"), if any, these Terms shall control. You and we are each a "Party" and collectively the "Parties" to these Terms.

2. MODIFICATIONS

You acknowledge we may, from time to time modify these Terms by posting an updated version on both our website and the App and changing the Effective Date. Any modifications are effectively immediately upon posting. Your use of or engagement with our Services at any time after such modifications are posted shall be considered your acceptance of and agreement to bound to the Terms in effect at the time of use or engagement. We suggest you regularly review our Terms in order to remain informed of your rights and obligations.

4. TERM and TERMINATION

These Terms shall remain in effect at all times during your use of and engagement with our Services. Even after your use and engagement with our Services concludes or is terminated, certain obligations and rights, to the extent outlined herein or reserved under applicable Law, may continue in perpetuity, including but not limited to our Privacy Policy, intellectual property rights, warranties, indemnifications, and limitations of liability.

We may terminate or suspend your access to our Services at any time, with or without notice, for any reason. In addition, if we have reason to believe that you violated these Terms or any of our Other Policies, we may: (1) prevent you from using our App or re-registering under a different name or phone number; (2) prevent you from following our social media; (3) prevent you from signing up for email communications; and/or (4) exercise any other remedy available to us under the law and/or these Terms.

5. OVERVIEW OF SERVICES

Arena One provides a live, interactive entertainment platform and experience, including:

  • The website located at arenaonelive.com;
  • Fan accounts and profiles;
  • SMS and email communications;
  • Interactive fan participation features during live events; and
  • Live cinema experiences presented in partnership with third-party venues and ticketing providers.

Arena One is not a ticketing provider or merchant of record. Tickets and certain purchases are fulfilled through third-party partners, including but not limited to Atom Tickets and AMC Theaters, as well as other partners that may be added over time.

You acknowledge and understand live events involve variables outside our control, including technical performance, venue conditions, and artist participation,

6. ELIGIBILITY

You must be at least thirteen (13) years old to use or engage with our Services. If you are a child over thirteen (13) years of age but under the age of majority in your jurisdiction of residence, you may only use or engage with our Services with the express authorization of your parent or legal guardian. If you are a parent or legal guardian allowing your child to use our engage with our Services, you are responsible for your child's conduct. Arena One's Services are not designed for or marketed for use by children under the age of 13.

7. FAN ACCOUNTS and COMMUNICATIONS

If eligible, you may create a fan account by providing information such as your name and phone number. By creating a fan account, you agree to:

  • Provide accurate and current information;
  • Maintain the security of your account; and
  • Accept responsibility for all activity under your account.

By providing your contact information and opting in, you warrant you are eligible to participate and consent to receive communications from Arena One, including:

  • SMS messages via Twilio (with opt-out via STOP);
  • Email communications via SendGrid;
  • Event updates, ticket announcements, and promotional messages; and/or
  • In-show notifications and interactive prompts

Your Message and data rates may apply. You may opt out of communications at any time as described in our Privacy and SMS/Messaging Policies.

8. LIVE EVENT PARTICIPATION

Arena One events are interactive. During our events, you may be invited to use our App. Such use may include:

  • Responding to prompts;
  • Submitting text or images;
  • Participating in polls; and/or
  • Engage through mobile-based light or display features

Participation is completely voluntary. Choosing not to use our App shall not preclude your enjoyment of or attendance at our events. Arena One may collect, store, and use data associated with your participation, including submissions and engagement with live experiences, in accordance with our Privacy Policy found here.

9. RECORDING, BROADCAST, AND FAN CONSENT

Arena One events are broadcast live and recorded. Recordings may be re-broadcast or distributed in whole or in part at a later date. You acknowledge that Arena One events are public and interactive environments and that you have no expectation of privacy while attending or participating. By entering any theatre exhibiting an Arena One performance, you acknowledge and agree that:

  • You have been duly informed that you may be photographed, filmed, or otherwise recorded;
  • Our events and performances are generally open to the public, subject to the eligibility outlined herein;
  • Your name, image, likeness, and/or voice may appear in live or recorded content; and
  • Such content may be used for:
    • Live broadcast;
    • Archival, replay, or commercial purposes;
    • Marketing, advertising, and promotional materials; and
    • Any other lawful business purpose.

In full consideration of your right to attend an Arena One event and participate in our Services, this irrevocable consent is given freely and shall apply to any capture or use of your name, image, likeness, and voice in perpetuity throughout the world, in any medium now know or hereafter devised on a royalty-free and fully paid basis. You hereby waive your rights to privacy and publicity, if any. You understand that all filming, photography, and/or recording will be done in reliance on this consent. If you do not wish to be recorded and consent to the terms outlined above, you should not attend or participate in Arena One events.

10. ARENA ONE CONTENT AND PROPERTY

As between you and Arena One, Arena One owns all rights to: its platforms, including its technology, computer code, design, and branding; logos, name, copy, copyrights, trademarks, service marks, tradenames, and other original indicia; original content and production formats, and any intellectual property and other proprietary rights therein; and all other legally protectable elements of our Services or recordings or copies thereof. Except as expressly authorized in writing by Arena One or set forth in these Terms, you shall not, nor shall you allow or facilitate any third party (whether or not for your benefit or otherwise) to, reproduce, record, photograph, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate to any third party (including, without limitation, on or via a third-party website or platform), or otherwise use, the Services, including, without limitation, any content therein.

11. USER-GENERATED CONTENT

In connection with your use of our Services you, and other users, may be able to share, submit, or upload photos, text, images, or other materials you create, generate, or publish (collectively, "User-Generated Content"). You acknowledge, agree, and understand User-Generated Content may viewable by others and used in any manner consistent with these Terms. By submitting or uploading User-Generated Content to Arena One or via our Services, including during our live events, you acknowledge and agree, you have no expectation of privacy or right to publicity in that User-Generated Content and no confidential, fiduciary, or contractual relationship, whether express or implied, shall be created by and between you and Arena One. You alone are responsible for your User-Generated Content. We do not acquire any title or ownership interest in User-Generated Content. By submitting, sharing, publishing, transmitting, uploading, or otherwise making User-Generated Content available to us, you grant Arena One an unrestricted, non-exclusive, worldwide, irrevocable, fully paid-up and royalty-free right and license in perpetuity, in all forms and formats, on or through any media and with any technology or devices now known or hereafter developed, in whole or in part, to, in our sole discretion, host, cache, store, maintain, use, reproduce, distribute, display, exhibit, perform, publish, transmit, modify, prepare derivative works of, adapt, reformat, translate, and otherwise exploit all or any portion of your User-Generated Content on or in the Services, live event experiences (including display on screens), marketing and promotional materials, on any other websites, services, and other distribution platforms, in recordings of any live event experience, and for any other Arena One business purpose, whether currently existing or developed in the future, for any purpose whatsoever without accounting, notification, credit or other obligation to you, and the right to license and sub-license and authorize others to exercise any of the rights granted hereunder to Arena One.

You represent and warrant that: (i) you own or have all necessary rights, licenses, permissions, authorities, interests, and the like to your User-Generated Content; and (ii) your User-Generated Content does not violate any laws or third-party rights.

Arena One reserves the right, but not the obligation, to monitor, review, remove, or refuse to display any User-Generated Content at its discretion and is not obligated to use or display any submitted content.

12. PROHIBITED CONDUCT

In the use and enjoyment of our Services, you agree not to:

  • Submit unlawful, harmful, or infringing User-Generated Content;
  • Violate or encourage the violation of any local, state, or national, law or regulation;
  • Solicit personal data from any individual;
  • Harass, threaten, or abuse other users or attendees;
  • Send, submit, share, publish or upload any User-Generated Content that is libelous, defamatory, abusive, sexually explicit, threatening, vulgar, obscene, profane, disparaging regarding race, gender, sexual orientation, religion, or ethnic background, any statement that you have reason to know is false or misleading, or otherwise reasonably objectionable messages, as determined in our sole discretion;
  • Disrupt live events or interfere with other fans' enjoyment;
  • Disrupt or interfere with the security or use our Services and any content linked to them;
  • Engage in unwanted physical contact or behavior that causes discomfort or harm;
  • Infringe or attempt to infringe any patent, trademark, trade secret, copyright, right of publicity or privacy, or other right of any third party or distribute any content you do not have a right to share under any law or under contractual or fiduciary relationships;
  • Reproduce, duplicate, copy, sell, resell, modify, perform, or exploit for any commercial purpose our Content or a third party's User-Generated Content.
  • Attempt to hack, disrupt, or interfere with Arena One systems or broadcasts;
  • Attempt to access and use our Services if you are ineligible under these Terms;
  • Conceal or misrepresent your identity or impersonate another person;
  • Create duplicate accounts or accounts using false or fraudulent information;
  • Intentionally interfere with or induce a breach of the contractual relationships between us and our employees, vendors, partners, or any other third party; and
  • Assist any third party in engaging in any activity prohibited by these Terms of Use

Arena One reserves the right to remove content, revoke access, or take other action in response to violations of these Terms. Arena One reserves the right to suspend or terminate accounts at its discretion.

13. IN-THEATRE CONDUCT

When attending Arena One events in theatres, cinemas, or other venues, you agree to:

  • Follow all venue rules, policies, codes of conduct, and the like;
  • Comply with instructions from venue staff and event personnel;
  • Refrain from any conduct or behavior that is unlawful, unsafe, unreasonable, or disruptive.

Arena One, on behalf of its partners, reserves the right to remove any individual from an event without refund for violations of these standards.

14. COPYRIGHT COMPLIANCE

At all times we use best efforts to comply with applicable laws. To report alleged copyright infringement and request that we remove any infringing material embodied, distributed, or otherwise used in our Services and content, please email us at help@artist.one and include all of the following information:

  • Your complete contact information (name, mailing address, telephone number and, if available, email address).
  • A description of the copyrighted work that you claim has been infringed.
  • A description of the material and alleged use reasonably sufficient to help us to locate and identify the allegedly infringing material.
  • A declaration that:
    • You have a good faith belief that the use of the material in the manner you are complaining of is not authorized by the copyright owner(s), their agent, or by law;
    • The information in your claim is accurate; and
    • You declare, under penalty of perjury, that you are the owner or authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed.
  • Your electronic signature or physical signature.

Please note that you may be liable for damages (including costs and reasonable outside attorneys' fees) if you make any material misrepresentions in your notice.

15. THIRD-PARTY SERVICES

Arena One works with third-party partners for ticketing, venues, commerce, communications, merchandise sales, and other services. Arena One may share information with service providers and partners as described in our Privacy Policy. Your interactions with third-party partners are governed by their respective terms and policies. Arena One is not responsible for ticketing and merchandise transactions, venue operations, or third-party services.

YOU AGREE THAT WE WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY GOODS, SERVICES, INFORMATION, RESOURCES AND/OR CONTENT AVAILABLE ON OR THROUGH ANY THIRD-PARTY WEBSITES AND/OR DEALINGS OR COMMUNICATIONS, OR FOR ANY HARM RELATED THERETO, OR ANY DAMAGES OR LOSSES CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH YOUR USE OR RELIANCE ON THIRD-PARTY SERVICES, USER-GENERATED CONTENT, OR BUSINESS PRACTICES OR OMISSIONS OF ANY THIRD PARTY.

16. DISCLAIMERS

ARENA ONE PROVIDES ITS SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT ALLOWED UNDER APPLICABLE LAW(S) WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR COURSE OF PERFORMANCE OR USAGE OF TRADE. FOR EXAMPLE, WE DO NOT MAKE ANY WARRANTIES THAT OUR EVENTS WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT OUR CONTENT WILL MEET YOUR EXPECTATIONS.

FURTHER, IF YOU ARE A CALIFORNIA RESIDENT YOU HEREBY WAIVES ALL RIGHTS AND BENEFITS UNDER §1542 OF THE CALIFORNIA CIVIL CODE WHICH STATES IN RELEVANT PART:

"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Arena One is not liable for indirect, incidental, exemplary, special, punitive, or consequential damages in connection with our Services. Additionally, to the extent permitted by law, we shall not be liable for loss of data, profits, enjoyment, or opportunity in connection with our Services or the unavailability thereof. You acknowledge and agree that we will not, under any circumstances, be responsible or liable, whether directly or indirectly, for any goods, services, information, resources, content and/or issues available on or through or arising from any third-party services or venues, or for any harm related thereto, or any damages or losses caused or alleged to be caused by or in connection with your use or reliance on the content or business practices of any third party. Your use of Arena One is at your own risk.

18. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Arena One and its affiliates from any claims, liabilities, costs, and expenses, including reasonable attorneys' fees arising out of or related to: your use of our Services, your User-Generated content, and your violation or alleged violation, of these Terms. We reserve the right to assume the defense and control of any matter be subject to indemnification by you, and in such case, you agree to cooperate with us in the defense of such claim.

19. GOVERNING LAW

These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

21. MISCELLANEOUS

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions of this agreement.

These terms and conditions are the entire agreement between you and Arena One and govern your right to access and use our Services, and shall supersede any and all prior or written or oral agreements between us with respect to the subject matter hereof, including prior versions of these Terms.

No waiver by either Party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default.
